IMPORTANT: READ CAREFULLY: By creating an account, clicking to accept these Terms, accessing AskUI Hub, or using any AskUI hosted service, you agree to these Terms of Service. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Definitions
"AskUI" means askui GmbH, registered at Zimmerstraße 3, 76137 Karlsruhe, Germany (HRB 740125).
"Services" means AskUI's hosted software-as-a-service offerings, including AskUI Hub, hosted inference-credit management, APIs, dashboards, documentation made available through the Services, and related support or professional services provided through a hosted AskUI account.
"User", "Customer", "you", or "your" means the individual or legal entity that creates an account, accepts these Terms, or uses the Services.
"Authorised User" means an employee, contractor, or other person whom you allow to access the Services under your account.
"Customer Data" means data, content, prompts, screenshots, videos, test inputs, instructions, files, and other materials submitted to or processed through the Services by or on behalf of you or your Authorised Users.
"Agent Output" means outputs generated by the Services, including test results, classifications, recommendations, actions, documents, code, natural-language responses, and other outputs from AskUI's computer-use agents.
"Order Form" means a written or electronic order, checkout flow, quote, invoice, or other commercial document accepted by AskUI that specifies a plan, subscription, usage credits, fees, or other commercial terms.
2. Scope and Order of Precedence
These Terms govern account creation, free trials, self-service use, and paid use of the Services unless you and AskUI have entered into a separate written agreement that expressly supersedes these Terms.
If an Order Form, data processing agreement, enterprise agreement, or product-specific terms apply, they form part of your agreement with AskUI. In the event of conflict, the following order of precedence applies: (1) the applicable Order Form or separately signed agreement, (2) the applicable data processing agreement, (3) product-specific terms, including the AgentOS Terms of Service where AgentOS is downloaded or used, and (4) these Terms.
3. Account Registration and Access
You must provide accurate account, billing, and contact information and keep it up to date. You are responsible for maintaining the confidentiality of credentials and for all activity under your account, including activity by Authorised Users.
You must promptly notify AskUI of any actual or suspected unauthorised access to your account. AskUI may suspend access credentials or accounts where it reasonably believes credentials have been compromised, the Services are being misused, or suspension is necessary to protect the Services, other customers, or third parties.
4. Services, Changes, and Beta Features
Subject to your compliance with these Terms and payment of applicable fees, AskUI grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the applicable subscription or trial period.
AskUI may modify, update, upgrade, or replace Service functionality from time to time. AskUI will use reasonable efforts not to materially reduce the core functionality of paid Services during an active subscription term.
AskUI may make pre-release, beta, preview, or experimental features available. Beta features are provided as-is, may be modified or discontinued at any time, and should not be used for production or safety-critical purposes unless expressly agreed in writing.
5. Plans, Fees, and Inference Credits
Free trials, free tiers, and promotional inference credits may be limited in duration, scope, or availability. AskUI may change or discontinue free offerings prospectively.
Paid subscriptions, inference credits, usage-based charges, and professional services are billed according to the applicable Order Form, checkout flow, or invoice. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.
You are responsible for applicable taxes other than taxes based on AskUI's net income. If an amount is overdue and undisputed, AskUI may suspend access to paid Services after reasonable notice until payment is received.
6. Customer Obligations and Acceptable Use
You must use the Services in accordance with these Terms, applicable law, the Documentation, and any usage limits in your plan or Order Form. You are responsible for configuring agents, tools, permissions, target systems, and automation workflows safely and lawfully.
You must not, and must not permit any Authorised User or third party to:
- violate applicable law, third-party rights, export-control rules, or data-protection obligations;
- attempt unauthorised access to the Services, AskUI systems, other customers' data, or third-party systems;
- disrupt, overload, probe, scan, or attack the Services or related infrastructure;
- upload malicious code, unlawful content, or content you do not have rights to process;
- use the Services to build or benchmark a competing product or service except as permitted by law;
- reverse engineer, decompile, disassemble, or attempt to derive non-public source code or underlying models, except where such restriction is prohibited by mandatory law;
- resell, sublicense, lease, time-share, or commercially exploit the Services for third parties unless expressly permitted in writing; or
- use the Services for safety-critical, regulated, or legally significant decisions without appropriate human review and independent validation.
7. Customer Data, Privacy, and Service Improvement
As between you and AskUI, you retain ownership of Customer Data. You grant AskUI a non-exclusive, worldwide, royalty-free right to host, store, transmit, copy, process, display, and otherwise use Customer Data solely as necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms.
To the extent AskUI processes personal data on your behalf, such processing is governed by the applicable data processing agreement. You are responsible for ensuring that you have all rights, notices, permissions, and lawful bases required for AskUI to process Customer Data under these Terms.
AskUI will not use Customer Data in identifiable form to train, fine-tune, or improve generally available artificial-intelligence or machine-learning models. AskUI may use aggregated or de-identified data derived from Service usage to operate, secure, analyse, and improve the Services, provided it does not identify you, any Authorised User, or any natural person.
8. AI Output and Autonomous Actions
The Services are AI-driven and may interpret user interfaces, generate instructions, execute screen actions, and produce Agent Output. You acknowledge that Agent Output may be probabilistic and may contain inaccuracies, omissions, or errors.
You are solely responsible for reviewing, validating, and verifying Agent Output before relying on it for business, operational, regulatory, safety, or compliance purposes.
Where you configure the Services to execute actions on systems, applications, devices, or interfaces, you are responsible for the scope of those actions, the permissions granted, the target systems selected, and the consequences of actions executed within those permissions. You must ensure that your use of the Services does not violate the terms or security requirements of any third-party system.
9. Intellectual Property and Feedback
AskUI and its licensors retain all rights, title, and interest in and to the Services, software, documentation, trademarks, trade names, logos, technology, and related intellectual property. No ownership rights are transferred to you by these Terms.
If you provide feedback, suggestions, or ideas about the Services, AskUI may use them without restriction or compensation to you.
The Services may include or interoperate with open-source software, third-party services, model providers, or integrations. Those components may be subject to separate terms. AskUI is not responsible for third-party services or systems outside AskUI's control.
10. Confidentiality
If either party receives non-public information from the other that is identified as confidential or should reasonably be understood as confidential, the receiving party must use it only to perform under these Terms and must protect it using reasonable care. Confidentiality obligations do not apply to information that is publicly available, already known without restriction, lawfully received from a third party, independently developed, or required to be disclosed by law.
11. Indemnification
You will defend and indemnify AskUI, its affiliates, officers, employees, and contractors from and against third-party claims, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with:
- Customer Data or other content submitted to or processed through the Services by you or your Authorised Users;
- your breach of these Terms, applicable law, or third-party rights;
- your configuration or use of agents, tools, permissions, target systems, or autonomous actions; or
- your use of the Services in combination with systems, data, software, hardware, or services not provided by AskUI.
AskUI will promptly notify you of the claim, provide reasonable cooperation, and allow you to control the defence and settlement, provided that no settlement may impose any admission, non-monetary obligation, or payment obligation on AskUI without AskUI's prior written consent.
12. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. AskUI does not warrant that the Services or Agent Output will be uninterrupted, error-free, secure, or fit for a particular purpose.
Nothing in these Terms excludes or limits warranties or remedies that cannot be excluded or limited under mandatory applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, AskUI is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings.
Subject to liability that cannot be limited under mandatory law, AskUI's total aggregate liability arising out of or in connection with these Terms or the Services will not exceed the fees actually paid by you to AskUI for the Services in the twelve (12) months preceding the event giving rise to the claim. Where no fees have been paid, AskUI's liability is limited to fifty euros (€50).
The limitations in this Section 13 do not apply to liability arising from AskUI's intent, gross negligence, personal injury, fraudulent concealment, or other obligations that cannot be limited under mandatory applicable law.
14. Term and Termination
These Terms apply from the date you first accept them or use the Services and continue until terminated. You may stop using the Services at any time. AskUI may suspend or terminate access if you breach these Terms, fail to pay undisputed fees when due, create security or legal risk, or use the Services in a way that may harm AskUI, other customers, or third parties.
Upon termination, your right to access and use the Services ceases. Sections that by their nature should survive termination will survive, including Sections 6 through 13, 15, and 16.
15. AgentOS and Commercial Runtime Use
These Terms govern the hosted Services. Downloading, installing, copying, or using AskUI AgentOS is subject to the separate AgentOS Terms of Service.
Commercial runtime use, on-premises deployment, perpetual licensing, custom support, or enterprise infrastructure may require a separate commercial agreement or Order Form. Those commercial terms take precedence where they expressly apply.
16. Export Compliance and Sanctions
You must comply with all applicable export-control, sanctions, anti-boycott, and trade laws, including those of the European Union and Germany. You must not make the Services available to any country, entity, person, or end use prohibited by applicable law.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.
The exclusive place of jurisdiction for disputes arising out of or in connection with these Terms is Karlsruhe, Germany, to the extent permitted by applicable law.
18. Changes to These Terms
AskUI may update these Terms from time to time. Updated terms will be posted at askui.com or made available through the Services. Where required by law or where changes materially affect your rights, AskUI will provide reasonable notice. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
19. Miscellaneous
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without AskUI's prior written consent. AskUI may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
